The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, adjudication and enforcement work. The OSC also contributes to national and global securities regulation development.

The Corporate Finance Branch is a regulatory branch responsible for regulating issuers (other than investment funds) in the public and exempt markets. The branch reviews public distributions of securities, exempt market activities and continuous disclosure of reporting issuers, and leads issuer-related policy initiatives. The branch is also responsible for supervising insider reporting, regulating credit rating agencies and overseeing the listed issuer function for OSC-recognized exchanges.

The Syndicated Mortgage and Real Estate Specialist will collaborate with senior legal counsel and accountants to design and execute compliance reviews and sweeps as well as prepare continuous disclosure industry planning memos for real estate issuers and alternative mortgage lenders as related to SMI/Real Estate Investments. They will provide expert guidance on SMI/Real Estate Investment policy initiatives through briefing materials for senior management, design and implement staff training, and provide high-level related advice to other branches at the OSC.

Key Duties and Responsibilities:

  • Act as a subject matter expert consultant on exemptive relief or regulatory approvals for novel real estate business models, registrant conduct and Enforcement matters related to SMI/Real Estate Investments.
  • Collaborate with the Investor Office to provide subject matter expertise to develop investor education materials related to investing in the real estate sector.
  • Proactively stay abreast of market developments as it relates to SMI/Real Estate Investments and provide strategic advice to OSC Branch Directors on emerging risks and trends related to SMI/Real Estate Investments, including in the area of systemic risk.
  • Independently develop and recommend risk criteria to enable identification of higher risk issuers and investments in the exempt market.
  • Provide expert advice and insight on novel and complex SMI/Real Estate Investments subject to compliance, including reviewing investment structures to identify investor protection “red flags” in connection with issues such as fees, appraisals, or commonly-used real estate performance ratios.
  • Participate in meetings with market participants to explain regulatory concerns and arrive at appropriate compliance outcomes.
  • Identify data sources for cost-benefit analyses required for rule-making and provide advice on identifying and quantifying costs and benefits to market participants.
  • Design and implement staff training sessions on SMI/Real Estate investments.

Ideal Skills and Experience:

  • University degree in Economics, Business, Finance or Accounting.
  • Graduate degree in Economics or Business, an asset.
  • Minimum six (6) years of senior-level experience in the financial services industry, with in-depth expertise in the real estate and/or mortgage sector and capital markets.
  • Demonstrated ability to be forward-thinking with a strategic mindset.
  • Strong analytical skills with attention to detail.
  • Clear and concise verbal, written communication and presentation skills.
  • Ability to interact professionally with both internal and external stakeholders.
  • Ability to respond to ad hoc unstructured problems with planning, flexibility, communication and execution.
  • Ability to conduct research, analyze, problem solve and synthesize findings.
  • Ability to work with a high degree of independence, prioritize and meet strict deadlines.
  • Knowledge or experience in the securities industry.
  • Completion of the Canadian Securities Course or similar program in securities regulation, an asset.
